Interpretation and Definitions

Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

• Company (referred to as either "the Company," "We," "Us," or "Our" in these Terms and Conditions) refers to Signature Electric LLC, a Utah limited liability company holding Utah contractor license number 14290611-5501.
• Country refers to: Utah, United States.
• Customer (also "You") means the individual or entity that requests, schedules, or receives electrical services from the Company, or that accesses or uses the Service.
• Device means any device that can access the Service, such as a computer, a cell phone, or a digital tablet.
• Service refers to the Website and the electrical services provided by the Company.
• Terms and Conditions (also referred to as "Terms") means these Terms and Conditions, including any documents expressly incorporated by reference, which govern Your access to and use of the Service.
• Third-Party Social Media Service means any services or content, including data, information, products, or services, provided by a third party that is displayed, included, made available, or linked to through the Service.
• Website refers to Signature Electric, accessible from http://signature-electric.co/.
• Written Agreement means the written estimate, proposal, work order, or contract accepted by You and the Company describing the specific work to be performed, its price, and any terms specific to that job.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement between You and the Company. These Terms set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, or by accepting an estimate or proposal from Us, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service or to enter into a Written Agreement with Us.

Your access to and use of the Service is also subject to Our Privacy Policy, which describes how We collect, use, and disclose personal information. Please read Our Privacy Policy carefully before using Our Service.

Website Content

The Website is provided for informational purposes and to allow You to request services. Service descriptions, pricing ranges, educational articles, and project examples are general information only. They do not constitute a binding offer, a professional assessment of Your property, or a substitute for an on-site evaluation by a licensed electrician. Electrical work carries risk of fire, injury, and death, and information on the Website should not be relied on to perform electrical work Yourself.

You agree not to misuse the Website, attempt to gain unauthorized access to it, submit false or misleading information, or use it in violation of any applicable law.

Estimates and Quotes

Estimates are based on the conditions observed and the information available at the time of assessment. Unless the estimate states otherwise, estimates are valid for the period stated on the face of the estimate and are subject to change if actual conditions differ from those observed or disclosed, or if material prices change materially before work begins.

Any pricing shown on the Website or in marketing materials is for general reference only. A binding price exists only in a Written Agreement accepted by both parties. Any diagnostic fee, trip fee, or minimum service charge will be disclosed to You before We dispatch a technician.

Scheduling and Site Access

You agree to provide safe and reasonable access to the work area at the scheduled time, including access to the electrical panel, attic, crawlspace, basement, or exterior as the work requires. You are responsible for securing pets, clearing personal belongings and obstructions from the work area, and disclosing known hazards, including asbestos, mold, pests, or prior fire or water damage.

Arrival windows are estimates, not guarantees. Weather, permitting and inspection delays, utility coordination, supply availability, and emergency service calls can affect scheduling. We will notify You as promptly as reasonably possible of any change.

Scope of Work and Change Orders

We will perform the work described in Your Written Agreement. Electrical systems frequently contain conditions that are not visible until walls, panels, fixtures, or covers are opened, including undersized or damaged conductors, improper prior work, corrosion, water intrusion, missing grounding or bonding, and code violations.

If additional work is required, We will notify You and provide a change order describing the additional work and its cost. Work outside the original scope will not proceed until You approve it. If You decline work that We determine is necessary for safe and code-compliant completion, We may decline to complete the affected portions of the job, and You remain responsible for payment for work already performed and materials already supplied.

Licensing, Permits, and Code Compliance

Signature Electric LLC is licensed by the State of Utah, license number 14290611-5501, and performs all electrical work under that license. Where permits are required, they will be obtained by the Company unless Your Written Agreement states otherwise, and permit and inspection fees are billed to You at cost or as stated in Your Written Agreement.

All work is performed in accordance with the edition of the National Electrical Code adopted by the State of Utah and any applicable local amendments in effect at the time the work is performed. We are not responsible for bringing unrelated portions of an existing electrical system into compliance with current code unless that work is expressly included in Your Written Agreement.

Payment Terms

• Payment is due upon completion of the work unless Your Written Agreement sets out a different payment schedule.
• A deposit may be required before materials are ordered or work begins. Any deposit requirement, and the amount, will be stated in Your Written Agreement.
• Accepted payment methods are as stated on Your invoice. Card payments may be subject to a processing fee where permitted by law.
• Past-due balances may accrue a late charge at the rate stated on Your invoice, not to exceed the maximum rate permitted by Utah law.
• You are responsible for reasonable costs of collection, including attorney's fees, incurred to collect an unpaid balance.
• Materials and equipment supplied by Us remain Our property until paid for in full. We reserve all mechanic's and construction lien rights available under Utah law.
• Disputed charges must be raised in writing within a reasonable time after the invoice date so We have an opportunity to inspect and resolve the issue.

Cancellation and Rescheduling

Please give Us as much advance notice as possible to cancel or reschedule a scheduled appointment. Cancellation with insufficient notice, or an inability to access the property at the scheduled time, may result in a trip charge as stated in Your Written Agreement or disclosed at the time of booking. Special-order materials and custom equipment are non-refundable once ordered.

Where a statutory right of rescission applies to a residential contract under Utah or federal law, that right controls over this section and will be disclosed to You in Your Written Agreement.

Workmanship Warranty

We warrant that Our workmanship will be free from defects for the warranty period stated in Your Written Agreement. If a defect in Our workmanship appears during that period, We will correct it at no charge for labor, provided You notify Us promptly and give Us a reasonable opportunity to inspect and repair the condition.

Materials, fixtures, and equipment carry only the warranty offered by their manufacturer. We will reasonably assist You in submitting a manufacturer warranty claim, but We do not extend, expand, or replace the manufacturer's terms. The workmanship warranty does not apply where the work has been altered, repaired, or serviced by others, damaged by misuse or neglect, or affected by conditions outside Our control.

Exclusions and Pre-Existing Conditions

Unless expressly included in Your Written Agreement, We are not responsible for:

• Pre-existing code violations, prior work performed by others, or unpermitted alterations
• Failure of existing wiring, devices, panels, or equipment not installed by Us
• Cosmetic restoration beyond what is stated in the Written Agreement, including drywall patching, texture matching, painting, tile, flooring, and landscaping repair
• Damage caused by concealed conditions not reasonably discoverable before work begins, including hidden plumbing, wiring, ductwork, or structural elements
• Utility service interruptions, outages, or work performed by the electric utility
• Damage or loss caused by weather, flooding, fire, rodents, or other events outside Our reasonable control
• Loss of data, spoilage of food or refrigerated goods, or business interruption resulting from a planned or unplanned power interruption

Emergency and After-Hours Work

Emergency, after-hours, weekend, and holiday service may be billed at premium rates, which will be disclosed to You before We dispatch a technician. Emergency work is intended to restore safety and function and may be a temporary measure requiring follow-up work that will be quoted separately.

Electronic Communications

By providing Your phone number or email address, You consent to receive communications from Us electronically regarding Your estimate, appointment, job status, and invoices. Marketing communications are sent only where You have consented, and You may stop them at any time by replying STOP to a text message or using the unsubscribe link in an email. Message and data rates may apply. Consent to receive marketing messages is not a condition of purchasing any goods or services from Us. Our handling of Your information, including Our SMS practices, is described in Our Privacy Policy.

Photographs, Reviews, and Submitted Content

Unless You tell Us otherwise in writing, You grant Us a non-exclusive, royalty-free license to use photographs of work We performed at Your property, and any review or testimonial You provide, in Our marketing materials and on Our Website and social media profiles. We will not publish Your street address, full name, or other identifying details without Your permission. To withdraw this permission, contact Us at [email protected].

Intellectual Property

All content on the Website, including text, graphics, logos, photography, and design, is owned by the Company or its licensors and is protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works from Website content without Our prior written permission.

Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services.

The Service may also display, include, make available, or link to content provided by a Third-Party Social Media Service. The Company does not endorse or assume responsibility for any Third-Party Social Media Service, and Your use of it is governed by that service's own terms and privacy policies.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Termination

We may terminate or suspend Your access to the Website immediately, without prior notice or liability, for any reason, including if You breach these Terms. Upon termination, Your right to use the Website will cease immediately. Termination of Website access does not affect the rights and obligations of either party under a Written Agreement for work in progress.

Limitation of Liability

Some states do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages, which means some of the above limitations may not apply to You. In those states, each party's liability will be limited to the greatest extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence or willful misconduct.

"AS IS" and "AS AVAILABLE" Disclaimer

The Website is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its affiliates, licensors, and service providers, expressly disclaims all warranties with respect to the Website, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.

Without limiting the foregoing, the Company makes no representation or warranty of any kind: (i) as to the operation or availability of the Website, or the information, content, and materials included on it; (ii) that the Website will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Website; or (iv) that the Website, its servers, the content, or emails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs, or other harmful components.

This section applies to the Website and its content. It does not limit or disclaim the workmanship warranty We provide for electrical services performed under a Written Agreement, which is described above.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. In such a case, the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

Governing Law

The laws of the State of Utah, excluding its conflict of law rules, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service or about work We performed, You agree to first try to resolve it informally by contacting the Company in writing and allowing Us a reasonable opportunity to inspect and correct any alleged defect. This step is a condition of bringing any formal claim.

If the dispute is not resolved informally, it shall be brought exclusively in the state or federal courts located in Utah County, Utah, and You and the Company consent to the jurisdiction of those courts. Either party may bring a qualifying claim in small claims court.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, in whole or in part, please stop using the Service.
